These Terms of Use ("Terms") were last updated on April 9, 2024.

Please review these Terms carefully as they serve as an enforceable contract between us and contain important information about your legal rights, remedies, and obligations.

Hedarian's Mission

Hedarian's mission is to enhance health system outcomes via continuing education. We empower healthcare professionals everywhere to plan, develop and publish educational materials (for educators) and to engage with this material for learning purposes (for learners). We believe our platform model is the optimal approach for delivering significant continuing educational content to our users. To maintain the safety and integrity of our platform and services for everyone involved, including our community of educators and learners, it is necessary to establish guidelines. These Terms are applicable to all your interactions on the Hedarian website, Hedarian mobile applications, and other associated services ("Services").

When we publish your course on the Hedarian platform, you agree to the Instructor Terms. We also provide details regarding our processing of personal data of our educators and learners in our Privacy Policy. Our Instructor Terms, Privacy Policy, and other Hedarian policies and standards applicable to your use of our Services are incorporated by reference into these Terms.

Our website and app cause communications about your browsing and app activities and app usage to be sent from you to third parties who provide services to Hedarian. By using our Services, you consent to these communications.

1. Accounts

You need to create an account to do most things on our platform, like buying, accessing, or engaging in our communities. Make sure to keep your password safe because you're in charge of all the activities that happen through your account. If you think someone else might be using your account, please get in touch with our Support Team ([email protected]). You also need to be old enough according to your country's laws for online services to use Hedarian.

When you make your account, remember to give true and complete details, including a real email address. You are responsible for your account and any problems or damage that might happen because of someone else using it without your approval. This means taking care of your password is very important. You cannot give your account to someone else or use another person's account. If you ask us to get into an account, we can only help if you prove you are the real owner. If a user is deceased, we will close their account.

Don not share your account login details with anyone. If something happens with your account, Hedarian will not step in if you have shared your login information with others. If you think someone is using your account without your approval, or if you are concerned about a security issue, let our Support Team know right away. We might ask for some information to confirm you are the account owner.

You need to be at least 18 years old to create an account on Hedarian and use its services. If you are younger than 18 but old enough to use online services in your country (like 13 in the US or 16 in Ireland), you cannot make your own account. However, you can ask a parent or guardian to create an account for you so you can access suitable content with their help. If you are not old enough to use online services, you cannot sign up for a Hedarian account. If we establish you have made an account disregarding Hedarian’s policy on age, we will close it.

You can terminate your account at any time by contacting our Support team.

2. Content Enrollment and Lifetime Access

When you sign up for a course or other content on Hedarian, you are authorized to watch it through the Hedarian services only. You should not share or sell the content in any way. Usually, we let you access the course for as long as it exists on Hedarian, unless we have to remove it for legal reasons or if you have signed up through a subscription plan.

Educators who put their courses on Hedarian give Hedarian permission to let Learners watch this content. This means Hedarian can give you, the Learner, the right to access the course. Whether the course is free or paid, you are only receiving permission to view it on Hedarian’s platform, and you are not authorized to sell or share the course.

In simpler terms, Hedarian gives you, the student, a special permission to watch and use the courses you have paid for. This permission is just for you, and cannot be shared with anyone else, and is only for watching the courses for your own learning and not for making money. You need to follow any rules that relate to the course or Hedarian's general rules. You are not authorized to copy, share, sell, or change the courses in any way unless Hedarian gives approval through a written, signed agreement.

When you sign up for a course on Hedarian, we usually let you access it in perpetuity. But we can remove access if there is a legal issue or if the course breaks our rules, like if there is a copyright problem or it doesn not meet our safety standards. This in perpetuity access is not valid if you are using a subscription plan or for additional features supporting the course, like help from the teacher or question-and-answer services. Those can change anytime. So, you get to keep the course itself forever, but not the ongoing support from the instructor.

Educators may not grant licenses to their content to learners directly, and any such direct license shall be null and void and a violation of these Terms.

3. Payments, Credits, and Refunds

When you make a payment, you agree to use a valid payment method. If you aren’t happy with your content, Hedarian may refund or credit for most content purchases. You can contact [email protected].

3.1 Pricing

Hedarian sets course prices based on CME Partner agreements and our sales rules. Sometimes, course prices on Hedarian's website might differ from those on our mobile apps because of different pricing rules on those platforms.

We often have sales where courses are discounted for a limited time. The price you pay is what is shown when you check out. Special discounts might only be available to new users or those logged into their accounts.

The currency you see is based on where you were when you made your account, or, if you are not logged in, where you are now. We do not show prices in other currencies.

If you are in a place that charges taxes like sales tax or VAT on online purchases, Hedarian will handle collecting and sending this tax to the government. The price you see might include these taxes, or they might be added when you pay.

3.2 Payments

By buying courses on Hedarian, you agree to pay for them and allow us to charge your card or use other payment methods like, direct debit, or mobile wallet. Hedarian uses secure payment providers to make sure you have safe and convenient payment options. We might update your payment details through our payment service providers. For more information, take a look at our Privacy Policy.

Do not use payment methods that are invalid or not yours. If your payment does not go through but you still get access to the course, you will have up to 30 days after we inform you about the mis-payment. We may stop your access to any course if we have not received payment in full.

3.3 Refunds and Refund Credits

If you buy a course and it is not what you expected, you can ask for a refund within 30 days of purchase, but this does not work for subscription plans. Whether we give you a refund credit or transfer the money back on your original payment method is our decision, and it depends on what our payment providers can do, where you bought the course (like on our website or an app), and other factors. You can not get a refund if the 30 days have passed, except if we have to remove the course for legal reasons, then you can still get your money back. Also, if there has been fraud on your account, we may give you a refund after the 30 days has expired.

3.4 Gift and Promotional Codes

Hedarian or our partners may provide codes for gifts or promotions. You can use these codes to add credits to your Hedarian account, which you can then spend on eligible courses, as long as you follow the rules pertaining to your codes. Some codes can be directly used to purchase specific courses.

If you do not use these codes or credits within a certain time, they may expire as noted in your Hedarian account. Hedarian's gift or promo codes cannot be exchanged for cash, unless the rules pertaining to your codes say so or the law requires it. Codes from our partners follow their own refund rules. If you have different credits in your account, Hedarian will decide which ones to use when you buy something. For more details, check with our Support team.

4. Content and Behavior Rules

Use Hedarian only for legal activities. You are responsible for all the content you post on Hedarian, like reviews, questions, and courses. Make sure everything you upload follows our Trust & Safety Guidelines and respects the law and others' copyright. If you break these rules seriously or repeatedly, we may ban your account. If you believe someone is using your copyrighted work on Hedarian without permission, please inform us.

Your activities on Hedarian need to follow the laws of your country. You are responsible for knowing and adhering to those laws.

If you are a Learner, you can ask educators questions, leave course reviews, and might be asked to submit homework. Only submit work that is yours. Educators can publish courses and speak with their learners. Everyone must obey the law and respect copyright when posting any content.

If your content breaks the law or our guidelines, or if it is inappropriate or infringes on someone's rights, we may remove it. We follow copyright laws closely. For more on this, see our Intellectual Property Policy.

We decide how to enforce these rules and may end your access, ban your account, or remove your content, if necessary, without warning. This could be because of rule-breaking, unpaid fees, fraud, legal requests, technical problems, suspected illegal activities, or other reasons. If we close your account, your content might still be up, but you will not be able to access Hedarian. We are not liable for any consequences this might have on you or others.

If you see your copyright or trademark being violated here, let us know. Our instructors are required to respect the law and copyright. Check our Intellectual Property Policy on how to report infringement.

5. Hedarian’s Rights to Content You Post

When you post anything on Hedarian, like comments, you still own it. Courses follow the partnerships and residence terms and conditions.

By posting on Hedarian, you allow us to use, share, and even change your content. We can show it anywhere, work with others to spread it further, and use it to help promote Hedarian.

Legally speaking, you are giving us a broad permission to use your content without any financial obligation. This means we can share it widely, including for advertising. You are confirming your right to allow us to use your content based on the Partnership and Residency Agreement.

6. Using Hedarian at Your Own Risk

Hedarian works with educators and learners to connect. However, just like other places online where people can post and talk to each other, things can sometimes go wrong, and using Hedarian is at your own risk.

We do our due diligence to check courses for all content in order to accredit them, but we cannot always guarantee the accuracy or truthfulness of the courses. If you decide to take a course, you are doing so based on your own judgment.

You might come across content on Hedarian that you find offensive or inappropriate. We are not responsible for shielding you from such content, and we are not liable for any issues that might arise from your use of Hedarian, including content related to health or physical activities. You are taking on the risk for any harm that may occur from these activities.

Be cautious when sharing personal information with others on Hedarian. While we limit what instructors can ask from you, we cannot control what happens with the information you share with them or other students.

We do not employ CME partners and are not involved in any issues that could occur between learners and educators.

Hedarian also links to other websites we are not liable for. We are not responsible for their content or how they handle your information. Ensure you check out their terms and privacy policies too.

7. Hedarian’s Rights

We own everything that makes up Hedarian, like our website, apps, logos, and code, including content our team makes. You are not allowed to adapt or use any of it without our authorization.

Everything about Hedarian – our site, apps, and the like, is ours and protected by laws in the UAE and other countries. You cannot use the Hedarian’s name, logos, or anything else that identifies us without our permission. If you give us ideas or feedback, we can use it however we want without obligation.

What you should not do on Hedarian:

  • Do not hack into or adapt parts of Hedarian that are not public, including our technical systems.
  • Do not adapt or try to navigate any security features we have.
  • Do not copy, change, or attempt to decipher the code for our website or services.
  • Do not use robots or any other automated means to access Hedarian, except through the ways we have set up, like our search features.
  • Do not send misleading emails in Hedarian’s name, overload, spam, or send viruses to Hedarian or its users.

8. Subscription Terms

This section covers additional terms that apply to your use of our subscription-based collections as a student (“Subscription Plans”). By using a Subscription Plan, you agree to the additional terms in this section.

8.1 Subscription Plans

When you sign up for a subscription plan on Hedarian, we give you special permission to access and watch the courses in that plan. This permission is just for you and cannot be shared or granted to someone else, and it is basically the same rules as buying a single course, except you do not own/have access to the courses in perpetuity.

Some subscription plans let you use interactive features, like workspaces, which might be run by another company. If so, you have to follow their rules, and there might be limits on how you can use these features.

What you get with your subscription, including what features and courses you can access and how much it costs, depends on the specific plan you choose. You cannot share your subscription with another party.

We may have to cease your use of courses in your subscription if there are legal reasons or if we are unable to offer those courses anymore. For more on this, look at the section about course enrollment and forever access.

8.2 Account Management

To cancel your subscription, just follow the instructions on our Support Page. If you do cancel, you can keep using the subscription until the end of your current billing cycle, but it will not renew after that. Once you cancel, you will not receive a refund for any subscription fees you've already paid, unless the law in your area says you should. Also, remember that cancelling your subscription does not mean your Hedarian account is closed; it just stops the subscription.

8.3 Payments and Billing

When you sign up for a subscription, the cost will be shown at that time. You can find out more about the fees and payment dates on our Support Page. We might need to add taxes to your subscription fee as explained in the Payments section. Remember, payments are final, and we do not offer refunds for any part of the subscription period you do not use, unless the law where you live says you can get a refund. Our Refund Policy page has more details on this.

You need to provide a payment method when you subscribe. By doing so, you are allowing us and our payment partners to charge your payment method for the subscription fees. Your subscription will automatically renew for the same amount of time, and we will charge you again unless you cancel.

If our payment partners update your payment details for us, you are agreeing that we can continue to charge your subscription to the new details. If we cannot charge your payment method or if you successfully dispute a charge and it is reversed, we might have to suspend or end your subscription.

We can change the subscription options or prices whenever we want, but we will inform you know before any changes affect you, unless the law requires something different.

8.5 Interactive Session Restrictions

When you are using the Interactive Sessions on Hedarian, please do not do the following:

  • Use them for anything other than the exercises Hedarian has set up.
  • Give access to websites, databases, or forums, or mine for cryptocurrencies through these sessions.
  • Go beyond the limits we have mentioned on our Support Page.
  • Use these sessions for any business-related activities.
  • Do anything that might affect our services or harm our system's stability.
  • Use real or personal data; only use fake, anonymous data.

These rules are in addition to other rules we have outlined in the Terms, particularly how you should behave and what Hedarian can do.

8.6 Subscription Disclaimers

We cannot promise that certain courses will always be in a subscription plan, or that there will be a minimum number of courses available. We might add new features, change, or even stop offering a subscription plan whenever we decide. Also, we are not required to save any of the work or data you put into the courses while using your subscription. This advice is in addition to the other warnings we have provided in the Disclaimers section.

9. Miscellaneous Legal Terms

These Terms act as a contract, containing essential legal terms that safeguard us against various potential issues and define the legal relationship between you and us.

9.1 Binding Agreement

By signing up for, accessing, or using our services, you are agreeing to a legal contract with Hedarian. If you do not agree with these terms, please do not use our services.

If you are an instructor and you are using Hedarian on behalf of a company or other organization, you are confirming that you have the right to agree to these terms with their consent.

These terms are provided in English, and even though we might offer translations, the English version is the most significant if there is any disagreement regarding any translation.

These terms, along with any related agreements and policies mentioned here, are the full agreement between you and Hedarian.

If any part of these terms is not allowed by law, we will replace that part with something legal that has a similar effect, and the rest of the terms will still apply.

Just because we do not enforce a right immediately does not mean we are giving up that right, and we can still decide to enforce it later. Also, if we ignore a breach of these terms once, it does not mean we have to ignore it in the future.

Certain parts of these terms will still apply even after the terms end, including the sections about course enrollment and access, Hedarian's use of content you post, the risks of using Hedarian, Hedarian's rights, disclaimers for subscription plans, other legal terms, and how disputes are resolved.

9.2 Disclaimers

Sometimes, our platform might be unavailable, whether it's for scheduled updates or unexpected problems. There might also be times when an educator says something misleading, or we might face security issues. These are just examples, and if something like this happens, you understand that you cannot hold us responsible. Basically, we are saying that everything we offer is "as is" and "as available," without any promises that everything will be perfect or work exactly as you would hope. We and our partners do not guarantee that the services will always be safe, timely, error-free, or accurate, nor do we promise specific results from using our services. If the law where you live says we cannot exclude these guarantees, then this might not all apply to you.

We might stop offering certain parts of our services anytime we need to, without being responsible for any inconvenience this might cause. Also, if something out of our control happens, like a natural disaster or government restrictions, and it stops us from delivering our services, we will not be held responsible for that delay or failure.

9.3 Limitation of Liability

In simple terms, within what the law allows, neither we (including our associated companies, suppliers, partners, and agents) will be responsible for any indirect damages like lost data, lost profits, lost business chances, or personal harm, no matter how these issues happen. Even if we knew there was a risk, this still applies. If there's a problem, the most we might have to pay you or anyone else is either 100 AED or what you have paid us in the last year, whichever is more. However, some places do not allow us to limit our responsibility this way, so in those cases, this rule might not fully apply.

9.4 Indemnification

If your actions lead to legal problems for us, we might take legal action against you. You agree to protect Hedarian, our associated companies, and our staff from any legal claims or demands, including paying for legal costs, that come because of (a) anything you post or submit, (b) how you use our services, (c) breaking these Terms, or (d) infringing on someone else's rights. This agreement to protect us stays even if you stop using our services or these Terms end.

9.5 Governing Law and Jurisdiction

When these Terms mention “Hedarian,” they’re referring to the Hedarian (or Hedify) entity that you are contracting with. If you are a learner, your contracting entity and governing law will generally be determined based on your location.

9.6 Legal Actions and Notices

No one can start a legal action related to this agreement more than a year after the problem first came up, unless the law says this time limit does not apply.

If we need to send you a notice or message, it will be written and sent either by registered or certified mail with proof of delivery, or by email. We will use the email linked to your account, and if you need to send us something, email it to [email protected].

9.7 Relationship Between Us

You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.

9.8 No Assignment

You cannot give your rights or obligations from these terms to someone else. For instance, if your account is set up for work, you cannot assign it to another coworker. However, we can transfer these terms and the rights that come with them to someone else if we need to. These terms do not give any benefits or rights to anyone else who is not party to this agreement. Your account is yours alone and cannot be transferred to anyone else, and if you pass away, your rights under these terms end.

11. Updating These Terms

We might update these Terms occasionally to keep up with new features or changes in how we operate. Hedarian can change these Terms at any time, and if there is a big change, we will let you know by sending an email to the address in your account or posting a notice on our services. These changes will start to apply as soon as we post them unless we say otherwise.

If you keep using our Services after we have made changes, that means you agree with the new terms. Any new versions of the Terms will replace the previous ones.
